TERMS OF REFERENCES
for the Supervisory Board

1. THE CHARTER.
1.1. The Supervisory Board (later to be referred as to Ц the Board) of the International Public Organization УInternational League for the Protection of Rights of Ukrainian Citizens Ф is a Regulatory Body, which provides control over activities of the Administration Board.
1.2. In all its activities the Board of the League will submit to the current legislation, Statute of the League, to this Terms of References, and other internal regulatory documents and resolutions approved by the Conference.
1.3. No Regulatory Body of the League, accept Conference, is eligible to give instructions to the Board concerning the order of performance of its functions and other issues of its activity.
2. ORDER OF ELECTION TO THE BOARD.
2.1. Chairman and members of the Board will be elected by the Conference among the number of members of the League for a period of 5 years in amount of 15 persons.
2.2. The election of members of the Board for the substitution of the eliminated members or those members, who fail to accomplish their functions for different reasons, will be performed in order, specified in article 2.1 of this Terms of References.
2.3. Member of the Board cannot be at the same time a member of the Inspection Committee.
2.4. Member of the Board can be early recalled from the membership for the substantial reasons.
2.5. The decision concerning recalling a member from the Board is upon the Conference.
2.6. Chairman and members of the Board accomplish their functions on the base of honor.
3. COMPETENCE OF THE BOARD.
3.1. . The competence of the Board includes:
- Analysis of Administration Board activities on implementation of ConferenceТs decisions;
- Consideration and approving the reports issued by Administration Board of Inspection Committee for quarter and year;
- Providing propositions concerning activity and management issues;
- Other issues assigned by the Conference.
3.2. Conference can impose accomplishment of separate functions, according to its decision, that belong to the competence of the Conference on the Board.
4. WORK ORGANIZATION OF THE BOARD.
4.1. Board sessions will be held when necessary, but no less than once in a quarter.
4.2. Chairman, Deputies, and Secretary of the Board will be elected from the number of its members at first session of the Board.
4.3. Chairman of the Board:
4.3.1. Manages the activities of the Board;
4.3.2. Calls a session of the Board;
4.3.3. Conducts sessions of the Board;
4.3.4. Accomplishes other functions necessary for work organization of the Board in frame of his competence.
4.4. First Deputy Chairman provides assistance to the Chairman and - in the case of his absence Ц accomplishes functions of the Chairman during sessions of the Board.
4.5. Other capacities of the First Deputy and other Deputies of Chairman of the Board will be defied by the Chairman himself.
4.6. . Secretary of the Board is responsible for office management, minutes of sessions, and other documentation.
4.7. Members of the Board must be informed in a written form about next session of the Board within seven days before session. Message must include following information: date, time, venue, and agenda of the session.
4.8. Within three days before session any member of the Board can propose amendments of additions to the agenda.
4.9. Extraordinary session of the Board will be called by the Chairman of the Board or by written demand of any member of the Board, Chairman of the Administration Board, or Chairman of the Inspection Committee. The requirement for calling an extraordinary session of the Board must have a proper reason, and include issues that need to be discussed by the Board.
4.10. Extraordinary session of the Board must be called within ten days from the day of receiving the demand at the address of the Board from persons indicated in article 4.9. of this Terms of References. The order of informing the members of the Board is the same as specified in article 4.7. of this Terms of References.
4.11. Member of the Board can participate in the session of the Board personally or devolve power on his representative or a member of the League according to appropriate assignment. The assignment can only be afforded to members of the Board.
4.12. If there are no less than 1/3 of members of the Board attend the session, the Board is eligible to make decisions.
4.13. Any member of the Board has only one voice during the voting. Only in special cases, personal representative or a member of the League according to the article 4.11 is eligible to vote.
4.14. Decisions about all issues will be made by the majority of voices of members who attended the session of the Board. In case of equal division of voices, the voice of Chairman (or First Deputy of Chairman) of the Board will prevail.
4.15. Secretary will keep a minute-book of sessions of the Board.
4.16. Protocol of session of the Board will be signed by the Chairman of the Board (First Deputy).
4.17. Members of the Board who disagree with a decision of the Board can pronounce their own opinion, which will be included to the protocol and declared along with the decision at the Conference.
4.18. Minute-book or testified statements from it must be submitted to the consideration upon request of members of the Board, Chairman of Administration Board, Chairman of the Inspection Committee and organization committee of the Conference during a day.
5. RESPONSIBILITY OF MEMBERS OF THE BOARD.
5.1. Members of the Board carry on personal responsibility for accomplishment of ConferenceТs decisions if they are not contrary to the current legislation and Statute of the League.
5.2. Members of the League carry on the responsibility according to the current legislation, in case of dereliction or improper accomplishing of their duties.
6. FINAL REGULATIONS.
6.1. This Terms of References comes into force from the moment of its approval by the Administration Board.
6.2. Amendments and additions to this Terms of References can be delivered for consideration to Administration Board by members of the League, local Agencies of the League, administrative and other bodies of the League, and will come into force after their approval by the Administration Board.
